Zillow Showcase Product Terms and Conditions

The Zillow Showcase Subscription Order (“Order”) and Agent’s use of the Services is subject to these Zillow Showcase Product Terms and Conditions (“Showcase Terms”), the Zillow Media Experts Product Terms, the ShowingTime+ Terms of Use, the ShowingTime+ Privacy Notice, the Good Neighbor & Conduct Policy, and any terms presented to Agent while using the Services, as applicable (collectively, the “Agreement”).  The Agreement includes any updates to the Agreement, which updates shall be effective upon ShowingTime+ incorporating the updates into the Agreement and posting or linking them here or at the preceding URLs, as applicable. If any terms in the Agreement conflict with the Showcase Terms or Order, the terms in the Showcase Terms and Order will govern with respect to the Services.  Capitalized terms used but not defined in these Showcase Terms, shall have the meaning ascribed to such terms in the Agreement. The “Subscription Effective Date” is the date the Agreement takes effect which is the date when you sign an Order.  The Agreement will remain in effect during the relevant Subscription Period (as defined below) or until terminated as specified in the Agreement.  If you use the Services without an Order or prior to signing your Order, the Agreement takes effect when you first use the Services.

  1. Subscription Price: The Subscription Price is based on the actual number of Showcase Listings (as defined below) an Agent purchases during the Subscription Period (as defined below).  The minimum Subscription Price is based on one Showcase Listing per month during the Subscription Period.  A “Service Month” begins on the Service Start Date and ends the day before  the same day of the  Service Start Date each subsequent calendar month of the Subscription Period (as defined below).  ShowingTime+ may change the Subscription Price charged for the Services at any time, provided that any such change will become effective only at the end of the then-current Subscription Period (as defined below). ShowingTime+ will provide Agent with advanced notice of any change to the Subscription Price.

  2. Services:
    1. Showcased Listings. ShowingTime+ will provide the Services for the applicable number of Showcase Listings (defined below) purchased by an Agent.  The Services will be applied during the applicable Service Month to new residential listings (each, a “Showcased Listing”) for as long as such Showcased Listing remains active, including any Showcased Listing that remains active after termination of this Agreement. Agent agrees and acknowledges that ShowingTime+ does not guarantee Agent will receive consumer inquiries as a result of Agent’s use of the Services.    
    2. Showcase Listings. ShowingTime+ will include the number of Showcase listings per Service Month (each, a “Showcase Listing”) purchased under the Order, subject to the following terms:
      1. All orders related to a Showcase Listing must be placed through the ShowingTime+ platform as directed by ShowingTime+.
      2. Beginning on the Service Start Date and continuing each Service Month during the Subscription Period (as defined below), Agent will receive the applicable number of Showcase Listings purchased under the Order.  
      3. The Showcase Listing total includes any additional Showcase Listings purchased within a given Service Month as described in Section 2(c), below.  
      4. Any Showcase Listing will be applied to the Service Month the Agent placed an order for such Showcase Listing, and any Showcase Listing not used during the Service Month granted will be forfeited and will not rollover to the subsequent Service Month (“Rollover Rule”).  For Orders finalized on or before June 10, 2024, the Rollover Rule does not apply.
      5. For all Showcase Listings and Additional Showcase Listings, Agents must: (i) select their media provider (e.g., Zillow Media Experts or Independent Photographer), (ii) receive the completed media, (iii) add the Showcase Listing or Additional Showcase Listing, as applicable, to the MLS with the required media, and set the listing to an active status in the MLS (resulting in display on Zillow).  Step (iii) creates an “Activated Listing” and must be completed within forty-five (45) days of the Agent indicating in the Services that a listing will be a Showcase Listing.  ShowingTime+ will not issue refunds or otherwise be liable to Agent for Showcase Listings or Additional Showcase Listings that are not Activated Listings.
    3. Additional Showcase Listings. During any given Service Month of the Subscription Period, if an Agent depletes the Showcase Listings purchased in their Subscription Price or chooses to purchase more Showcase Listings, the Agent may purchase additional Showcase Listings (“Additional Showcase Listings'') on a per listing basis.  Additional Showcase Listings are subject to the pricing terms presented to the Agent at the time of purchase.  Once the Agent accepts the pricing terms, they become part of the applicable Order and Agreement.    
    4. Consumer Feedback. Agent acknowledges and agrees that ShowingTime+ may contact consumers that submitted a consumer inquiry for feedback and testimonials (together, “Consumer Feedback”). ShowingTime+ may use any such Consumer Feedback to compile a Consumer Satisfaction Score (CSAT).

  3. Subscription Price and Payment:
    1. Subscription Price. The Agent shall pay ShowingTime+ the Subscription Price set forth in the Order. Except as otherwise explicitly set forth in this Agreement, the Subscription Price is non-refundable.
    2. Additional Showcase Listings Price.  The Agent shall pay ShowingTime+ the applicable fees set forth in the pricing terms presented to Agent prior to the purchase of any Additional Showcase Listings. Except as otherwise explicitly set forth in this Agreement, the purchase of Additional Showcase Listings is non-refundable.        
    3. Payment. Unless otherwise provided in the Order, the Subscription Price and Additional Showcase Listings must be paid by credit card. Additional Showcase Listings must be paid for at the time of purchase.  Agent also agrees and acknowledges the payment authorization requirements as applicable to Agent’s use of the teams feature within the Services.  The Subscription Price initial payment will be due on the Service Start Date, and subsequent payments will be applied to the Agent's credit card on the first day of the Service Month under the monthly Payment Option. If, after thirty (30) days from the initial attempt to charge an invoiced amount on the credit card, ShowingTime+ is still unable to charge the Agent’s credit card, ShowingTime+ may immediately suspend the Services. AGENT AGREES AND ACKNOWLEDGES THAT THE APPLICABLE CREDIT CARD WILL BE CHARGED ON A RECURRING BASIS UNTIL THIS AGREEMENT IS TERMINATED.

  4. Term and Termination:
    1. Term. The term of this Agreement will begin on the Subscription Effective Date and will remain in effect through the Subscription End Date set forth in the Order unless earlier terminated as provided in this Agreement (the “Subscription Period”).
    2. Termination for Breach. Either party may terminate this Agreement if a party materially breaches this Agreement and does not cure such breach within thirty (30) days’ of receiving written notice thereof from the non-breaching party.
    3. Termination for Convenience.
      1. ShowingTime+ may terminate this Agreement at any time upon thirty (30) days’ prior written notice to Agent. If ShowingTime+ terminates this Agreement pursuant to this Section, ShowingTime+ will pay Agent an amount equal to the prepaid unused Subscription Price for the remainder of the Subscription Period.
      2. Agent. Agent may terminate this Agreement at any time upon thirty (30) days’ prior written notice to ShowingTime+. If Agent terminates this Agreement pursuant to this Section, Agent will pay ShowingTime+ an amount equal to fifty percent (50%) of the unpaid Subscription Price for the remainder of the Subscription Period.
    4. Effect of Termination. Upon termination of this Agreement for any reason, any amounts owed by Agent to ShowingTime+ before such termination will be immediately due and payable and all license rights granted in this Agreement will cease to exist. Agent must discontinue all use of the Services, and ShowingTime+ will not grant Agent any Showcase Listings or Additional Showcase Listings as of the effective date of termination.

  5. Agent Responsibilities:
    1. Agent warrants that they have the authority and necessary permissions to advertise each Showcased Listing from all relevant parties, including but not limited to the property owner(s), and Agent’s broker(s) or brokerage.
    2. Agent must engage with any inquiries resulting from a Showcased Listing within 24 hours of initial contact.
    3. Agent must provide satisfactory services to any inquiries resulting from a Showcased Listing. ShowingTime+ may measure services provided by Agent through a Consumer Satisfaction (CSAT) score or other suitable means and enact a minimum standard that ShowingTime+ expects Agents to maintain. We may change the CSAT score that Agent is required to maintain at any time and will provide Agent reasonable notice of such change.Agent must ensure the content of their ShowingTime+ brand profile is current. If the Agent does not maintain an updated ShowingTime+ brand profile, ShowingTime+ may suspend Services.    
    4. Agent must include Zillow 3D Home Interactive Floor Plan for a Showcased Listing, including when using an Independent Photographer (as defined below).
    5. Agent must ensure that all content for each Showcased Listing is accurate and current.
    6. Upon request by ShowingTime+, Agent must provide certain information related to a Showcased Listing, including consumer transaction details, consumer inquiry reports, and any other information related to a Showcased Listing.

  6. Showcased Listing Media:  For each Showcased Listing, Agent may choose to use: (i) Zillow Media Experts; or (ii) a preferred third-party photographer (“Independent Photographer”). Agent acknowledges and agrees the cost of Showcased Listing media is not included in the Subscription Price.  It is Agent’s sole responsibility to pay for Showcased Listing media based on the options available to Agent in this Section 6. 
    1. If Agent uses Zillow Media Experts for a Showcased Listing, such use is subject to the Zillow Media Experts Product Terms and the applicable pricing for the Zillow Media Experts package purchased by Agent; and 
    2. If Agent uses an Independent Photographer for Showcased Listing Media, such use is subject to additional terms and requirements between ShowingTime+, Agent, and the Independent Photographer, as applicable.  Agent is also solely responsible for any terms and conditions between Agent and the Independent Photographer related to the media required for a Showcased Listing.  Agent acknowledges and agrees ShowingTime+ has no responsibility or liability to Agent or any third party related to Agent’s use of an Independent Photographer, including but not limited to, the quality of the media, access to the media prior to submission to the Services, or availability of an Independent Photographer.  

  7. Confidentiality: For the purposes of this Agreement, “Confidential Information” means information about the disclosing party’s business or activities that is proprietary and confidential, including the terms of this Agreement and all business, financial, technical, strategic, and other information of a party, which, by its nature or due to the circumstances surrounding its disclosure, ought in good faith to be treated as confidential. Confidential Information will not include information that (a) is in or enters the public domain without breach of this Agreement, (b) the receiving party lawfully receives from a third party without restriction on disclosure and without breach of a nondisclosure obligation, (c) was known to the receiving party without confidentiality restrictions at the time of its receipt from the disclosing party, or (d) has been developed by the receiving party without reliance on the Confidential Information. Each party (y) will not use, or disclose to any third party, any Confidential Information disclosed to it by the other party for any purpose except as expressly permitted in this Agreement, and (z) will protect such Confidential Information from disclosure to others, using the same degree of care used to protect its own confidential or proprietary information of like importance, but in any case using no less than a reasonable degree of care. Notwithstanding the foregoing, each party may disclose Confidential Information (i) on a “need-to-know” basis to its officers, directors, employees, agents, contractors, consultants, legal counsel, accountants, banks, and other financing sources and their advisors, and (ii) if required to be disclosed by law or judicial or other proceeding, provided that the receiving party notifies the disclosing party of such disclosure and affords the disclosing party a reasonable opportunity to seek protective legal treatment of such Confidential Information.
